End-User License Agreement

1. Agreement to Terms
This End-User License Agreement (“EULA”) is a legal agreement between you (“User”) and Completra, Inc. (“Completra”) governing your access to and use of the Completra platform, including its web application, portal, mobile interfaces, APIs, and related services (collectively, the “Software”).
By creating an account, accessing the Software, or clicking “I Agree,” you agree to be bound by this EULA. If you are using the Software on behalf of a school or organization, you represent that you have authority to bind that entity. If you do not agree, do not use the Software.
2. License Grant
Subject to your compliance with this EULA and any applicable subscription agreement, Completra grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for your internal business or educational purposes.
This license does not include the right to sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Software, or to modify, copy, reverse engineer, decompile, or create derivative works of any part of it.
3. Permitted Users
The Software is licensed to the following categories of users:
- School operators and staff — owners, administrators, enrollment staff, financial staff, instructors, and read-only viewers authorized by a subscribing school.
- Students and applicants — individuals accessing the student portal to manage their application, enrollment, coursework, or communications with a school.
- Completra platform administrators — Completra personnel authorized to support and administer the platform.
Access credentials are personal and may not be shared. You are responsible for all activity that occurs under your account.
4. Restrictions
You agree not to:
- Use the Software to access, store, or transmit unlawful, infringing, or harmful content.
- Attempt to gain unauthorized access to any account, system, or network connected to the Software.
- Interfere with or disrupt the integrity or performance of the Software or its underlying infrastructure.
- Use automated tools (scrapers, bots, crawlers) against the Software without Completra's written consent.
- Use the Software to send unsolicited commercial communications in violation of applicable law.
- Remove or obscure any proprietary notices on or in the Software.
5. Ownership and Intellectual Property
Completra and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This EULA does not convey any ownership interest to you.
You retain ownership of content and data you submit to the Software. By submitting content, you grant Completra and the applicable school a license to use that content to deliver the Software and services to you.
6. Updates and Modifications
Completra may update, modify, or discontinue features of the Software at any time. Updates may be applied automatically without notice. Continued use of the Software after an update constitutes acceptance of the updated Software.
7. Privacy and Data
Your use of the Software is also governed by the Privacy Policy, which describes how Completra collects, uses, and protects your information. The school you interact with may also have its own privacy policy.
8. Disclaimers
The Software is provided “as is” and “as available” without warranties of any kind, express or implied, to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Completra does not warrant that the Software will be uninterrupted, error-free, or free of harmful components.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Completra shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the Software, even if Completra has been advised of the possibility of such damages. Completra's total aggregate liability for any claims arising under this EULA shall not exceed the greater of (a) the amount you paid for the Software in the twelve months preceding the claim, or (b) one hundred US dollars ($100).
10. Termination
This EULA is effective until terminated. Your rights under this EULA terminate automatically if you fail to comply with any of its terms. Completra may suspend or terminate your access for violation of this EULA, the Terms of Service, or any applicable subscription agreement. Upon termination, you must stop using the Software and destroy any copies in your possession.
11. Governing Law
This EULA is governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions. Any disputes shall be resolved in the courts of competent jurisdiction in Delaware.
12. Changes to this EULA
Completra may update this EULA from time to time. Material changes will be posted on this page with a new effective date. Continued use of the Software after the effective date of a revised EULA constitutes your acceptance of the changes.
